Terms of Service
Provider: OceanSphere Service Sp. z o.o., ul. Nowogrodzka 31, 00-511 Warszawa, Poland (hereinafter "Provider"). These Terms of Service apply to the use of the ShipMind software by business customers (B2B). Consumer contracts are expressly excluded.
§ 1 Scope of Application
These Terms govern the use of the ShipMind software (online demo and licensed deployment) by companies, authorities, and other legal entities. ShipMind is intended exclusively for commercial use. Use by consumers as defined under Polish consumer law is not intended.
§ 2 Description of Services
ShipMind is an offline-capable maritime knowledge assistant. The software enables the indexing and querying of the customer's own technical documents (OEM manuals, maintenance records, vessel documents) using locally operated AI language models. The scope and type of delivery (SaaS, on-premise, demo access) are regulated in the individual contract.
§ 3 Anti-Hallucination — Disclaimer for AI Responses
IMPORTANT: AI-generated responses may contain errors. All safety-relevant, technical, or legal information provided by ShipMind MUST be verified against the respective original manual, the competent authority, or a specialist expert.
The Provider is not liable for damages arising from uncritical adoption of AI responses. The software serves as a tool for accelerated document research, not as a substitute for qualified maritime expert advice. ShipMind only responds when a sufficient source is found in the indexed knowledge base; where the data basis is insufficient, a response is refused.
§ 4 Limitation of Liability
The Provider is only liable for damages resulting from intentional or grossly negligent breach of duty. Liability for slight negligence, loss of profit, indirect damages, and data loss is excluded to the extent permitted by law. Total liability is limited in amount to the fees paid by the customer in the last 12 months; higher or differing liability caps may be agreed in the respective individual contract. Liability under mandatory statutory provisions, in particular for damages arising from injury to life, body, or health as well as under product liability law, remains unaffected.
§ 5 Intellectual Property
The ShipMind software and all associated components (code, design, AI configuration, OceanSphere knowledge base) are the property of OceanSphere Service Sp. z o.o. Use is only permitted within the scope of the concluded contract. Copying, redistribution, or decompilation is prohibited without express written consent.
§ 6 Term and Termination
The minimum contract term is twelve (12) months from provision, unless otherwise agreed in the individual contract. The contract renews automatically for a further twelve (12) months in each case, unless terminated in text form with three (3) months’ notice to the end of the respective term. Each party’s right to extraordinary termination for good cause remains unaffected. For onboard and hardware packages, the term, return, and termination provisions set out in the individual contract additionally apply.
§ 7 Pricing and Payment
The applicable prices are those set out in the respective valid individual offer or in the Provider’s price list valid at the time the contract is concluded. All prices are net, plus the applicable statutory value added tax. Unless otherwise agreed, the fees are invoiced annually in advance and are due for payment without deduction within fourteen (14) days of the invoice date. In the event of late payment, the statutory default provisions apply.
§ 8 Governing Law and Jurisdiction
The law of the Republic of Poland applies. The place of jurisdiction for all disputes arising from or in connection with this contract is Warsaw (Poland), unless mandatory legal provisions provide otherwise.
§ 9 Severability
Should individual provisions of these Terms of Service be wholly or partially invalid or unenforceable, this shall not affect the validity of the remaining provisions. The invalid provision shall be replaced by the legally permissible provision that most closely approximates the economic purpose of the invalid provision.
